By accessing or using NexClause ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

NexClause provides a contract management and agency operations platform that includes tools for drafting and tracking contracts, managing client relationships, generating invoices, logging costs, and accessing AI-powered business insights. The Service is intended for professional and business use.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of others; (c) transmit any harmful, offensive, or disruptive content; (d) attempt to gain unauthorized access to any part of the Service or its related systems; (e) use automated means to scrape, crawl, or extract data from the Service without our prior written consent; or (f) engage in any activity that interferes with or disrupts the Service.

5. Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are issued at our sole discretion and in accordance with our refund policy. We reserve the right to change pricing with reasonable advance notice.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of NexClause and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain ownership of any content you submit to the Service, but grant us a limited license to use, store, and process that content to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

8. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time through your account settings.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated insights are provided for informational purposes only and do not constitute legal or financial advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NexClause shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NexClause is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
